Junior Associate - Project Finance (India Focus)

We are seeking a junior to mid-level Associate to join our Project Development practice, with a focus on India related transactions. This role is suited to a lawyer with experience working on project development and related M&A transactions in the energy and infrastructure sector. The candidate is expected to be familiar in drafting and negotiation of project documents, off take agreements, joint venture agreements, share purchase agreements and shareholder agreements and someone who is comfortable engaging with Indian clients and transaction counterparties.
The successful candidate will work closely with partners, counsel and senior associates on cross-border project development and M&A transactions across the energy and infrastructure sector, supporting transaction execution from development to completion.
Responsibilities
- Assist with the drafting, review, and negotiation of project documents, such as Power Purchase Agreements, EPC contracts, O&M agreements, and other key corporate documents such as joint venture agreements, share purchase or share subscription agreements and shareholder agreements
- Conduct legal analysis and due diligence relating to project documents, structures, risk allocation, and regulatory considerations
- Support transaction management on cross-border project development and related M&A transactions across South-east Asia including India as well as coordination with local counsel and other advisors
- Liaise with clients, developers, sponsors, lenders, and counterparties on transactional matters
- Provide practical and commercially focused support to senior lawyers on live transactions
Minimum Qualifications
- Qualified lawyer with at least 3 years of post-qualification experience in project development and corporate matters.
- Experience drafting and negotiating project and corporate documents
- Familiarity with the Indian market and cross-border transactions involving Indian projects or sponsors
- Strong drafting, analytical, and communication skills
- Ability to work effectively in a collaborative, transaction-driven environment
Preferred Qualifications
- Experience advising on India related project development transactions
- Experience in an international or regional law firm environment
