The Role

ScaleUp is hiring a senior finance leader to own thereporting and execution workstreams for its spin-off and IPO. The mandate:define the reporting perimeter, build audit-ready historical and pro formafinancials, lead the PCAOB audit process, and position the company forinstitutional investors and capital markets.

We need a builder—someone who can structure,document, defend, and deliver a workable reporting solution in a complexmulti-entity environment. This is not a role for someone who only flags risk; it is for someone who architects the solution and gets it across the line withauditors and regulators.

What You Will Do

  • Lead the PCAOB-quality audit process – work with Big 4 auditors on ASC 606 (principal vs. agent, performance obligations, variable consideration, transaction price allocation)
  • Define the reporting perimeter – prepare standalone, pro forma, and consolidated financials across regional entities
  • Draft and defend technical accounting memos – including revenue recognition, transfer pricing, and consolidation analysis
  • Prepare audit-ready documentation – basis-of-preparation papers, reconciliations, supporting schedules for financing scenarios
  • Own transfer pricing benchmarking – intercompany revenue split and related-party transaction documentation
  • Build pro forma financials – under Regulation S-X, Article 11, for the post-reorganisation structure
  • Strengthen reporting processes – controls, close discipline, and finance governance across a scaling multi-entity platform
  • Coordinate across finance, legal, tax, and management – keep restructuring and reporting workstreams aligned

What We Are Looking For (Ordered by Importance)

  1. Corporate finance and deal experience – 8–15+ years in investment banking, corporate finance, Big 4 transaction advisory, or senior finance roles in high-growth, multi-entity organizations; proven ability to structure and execute complex transactions from a financial and reporting perspective
  2. IPO and capital markets expertise – direct experience preparing companies for public listing, including drafting registration statements (Form S-4/F-4), managing SEC comment processes, and building the financial infrastructure for public company readiness
  3. Commercial and strategic mindset – ability to translate financial data into investor-grade narratives, support fundraising and M&A activities, and partner with management to drive valuation and growth outcomes
  4. Technical accounting authority – deep understanding of ASC 606, with hands-on experience in principal vs. agent, performance obligations, variable consideration, and transaction price allocation; ability to draft and defend technical memos for Big 4 auditors
  5. Restructuring and spin-off execution – proven track record in designing reporting perimeters, preparing carve-out financials, and managing the accounting and tax implications of complex reorganisations
  6. Cross-functional leadership – comfortable working directly with founders, investors, legal counsel, tax advisers, and auditors in a fast-moving, high-stakes environment
  7. Builder mindset – able to create first-time reporting frameworks, allocation methodologies, and audit support from incomplete starting points; more builder than risk-focused controller
  8. Industry experience – fintech, asset management, wealthtech, treasury, or other regulated, multi-entity business models is highly relevant
