Job Description
- Shape the legal strategy for complex M&A activities, ensuring structures and terms support long‑term business objectives.
- Lead negotiations on key agreements-from preliminary term sheets to full transaction documentation-ensuring clarity, accuracy, and alignment with commercial outcomes.
- Oversee multi‑market legal due diligence, managing inputs from internal teams and external counsel to identify, assess, and mitigate legal risks.
- Provide guidance on regulatory approvals, competition matters, governance requirements, and jurisdiction‑specific investment controls.
- Act as a senior advisor to deal teams and leadership, offering pragmatic and commercially grounded counsel throughout the transaction lifecycle.
- Coordinate with banks, advisers, counsel, and counterparties to facilitate smooth execution under demanding timelines.
- Support internal governance processes, including preparing materials for senior management and board committees.
- Assist with integration efforts and ongoing contractual obligations post‑completion.
- Contribute to the enhancement of legal frameworks, templates, and internal processes for M&A matters.
The Successful Applicant
A successful Assistant General Counsel should have:
- A degree in Law from a recognised institution and professional legal qualifications with minimum 15 years of post‑qualification experience, ideally combining private practice and in‑house exposure with a focus on cross‑border M&A.
- Deep technical expertise in corporate transactions, accompanied by strong drafting, negotiation, and stakeholder‑management skills.
- Familiarity with regulatory environments and listing‑related requirements.
- Clear communication style and the ability to provide decisive guidance in high‑pressure, time‑sensitive contexts.
- A collaborative mindset and willingness to take on evolving responsibilities.
