About the Role
Our client is seeking an experienced Corporate Secretary to exercise the Group's corporate governance and corporate secretarial function across its global entities. This is a hands-on role responsible for ensuring statutory compliance, supporting board governance, maintaining corporate records, and enabling corporate actions across multiple jurisdictions. The role will partner closely with Legal, Compliance, Finance, Tax, HR and external service providers to build scalable governance processes that support the Company's continued global growth.
Responsibilities
- Perform the corporate secretarial role across the Company's global legal entities.
- Ensure all entities remain in good standing by overseeing statutory filings and corporate governance obligations.
- Manage entity incorporations, restructurings, dissolutions and ongoing corporate maintenance, across multiple jurisdictions
- Coordinate board, committee and shareholder meetings, including agendas, resolutions, minutes and governance documentation.
- Maintain statutory registers, constitutional documents, delegated authority records and corporate databases.
- Coordinate director and shareholder appointments, authorised signatories, powers of attorney and other corporate approvals.
- Support licensing initiatives, regulatory submissions and corporate transactions requiring governance approvals.
- Manage external corporate secretarial providers, registered agents and relevant government authorities.
- Develop and continuously improve governance frameworks, SOPs, templates and corporate secretarial processes to support operational scalability.
Requirements
- At least 5 years of corporate secretarial or corporate governance experience within a multinational organisation, financial institution or professional services firm. Outstanding candidates with less experience are encouraged to apply if they have the hunger to learn, a bias for action, and the ability to operate with pace, ownership and minimal supervision.
- Bachelor's degree in Law, Business Administration or a related discipline.
- Professional qualification such as CGI (formerly ICSA) or equivalent is advantageous.
- Strong knowledge of corporate governance principles and statutory compliance across multiple jurisdictions.
- Experience supporting board and shareholder governance within a complex international organisation.
- Excellent written communication, drafting and stakeholder management skills.
- Strong organisational skills with meticulous attention to detail, particularly in maintaining corporate records, preparing certified true copy (CTC) documents, supporting audits, and ensuring governance documentation is accurate, complete and up to date
