Job Overview

Responsible for assisting the company in legal, corporate affairs, corporate governance, and business management-related work, including contract review and management, corporate governance documents, corporate compliance, capital markets and due diligence support, and coordination with external lawyers and company secretaries.

At this stage, the position will serve as an important executive for the company's legal and corporate management functions. Under the guidance of the department head and relevant managers, the incumbent will gradually improve their ability to independently handle legal and corporate governance matters and will be trained as a core member of the company's future legal and corporate governance team.

Main Responsibilities

1. Legal Affairs and Contract Management

  • Assist in drafting, reviewing, and revising the company's routine business contracts and legal documents, including NDAs, service agreements, consultancy agreements, supplier contracts, cooperation agreements, etc.

  • Conduct preliminary reviews of key commercial and legal terms in contracts, identify potential risks, and propose amendments

  • Establish and maintain the company's contract ledger and legal document files

  • Track contract signing, validity period, renewal, termination and important contractual obligations

  • Coordinate with internal business departments and external lawyers to complete contract review, amendment, and signing

  • Assist in handling the company's day-to-day legal affairs and communicate promptly with the responsible person and external lawyers regarding major or complex legal matters

  • Gradually establish and improve the company's standard contract templates and contract management processes

2. Corporate Affairs and Corporate Governance

  • Assist in handling the day-to-day corporate affairs and corporate governance matters of the company and the group

  • Assist in preparing relevant documents, resolutions, and other corporate governance materials for the board of directors and shareholders' meetings

  • Coordinate with the company secretary on ACRA filings, changes to company information, annual compliance, and other company secretarial matters

  • Maintain records of directors, shareholders, group companies, and other important corporate records

  • Assist in managing the registration, licensing, annual review, renewal and related statutory matters of Singapore and overseas corporate entities

  • Establish and maintain the Corporate Governance & Compliance Calendar, and follow up on important matters and deadlines

  • Assist in the continuous improvement of the Group's corporate governance and corporate compliance system

3. Capital Market and Due Diligence Support

  • Assist with legal and corporate governance matters related to the company's capital markets

  • Cooperate with lawyers, auditors, company secretaries and other professional institutions to prepare required materials

  • Assist in the preparation, organization, and maintenance of due diligence, corporate records, and documents related to corporate governance and listing

  • Follow up on information requests and action items from external lawyers and professional institutions

  • Assist in the implementation of corporate governance, legal and compliance requirements during and after the listing process

4. Corporate Management and Internal Control Support

  • Assist in the formulation, updating and maintenance of the company's management system, SOPs, approval processes and internal management standards

  • Assist in improving internal control processes such as contracts, authorizations, approvals, and document management

  • Assist in following up on management decisions and cross-departmental action items

  • Coordinate with various departments to provide information related to corporate management, legal affairs, and compliance

  • Assist in identifying risks and deficiencies in existing processes and promote process optimization

  • Prepare management ledgers, reports, reporting materials, and other management documents as required

5. External Professional Institutions and Cross-Departmental Coordination

  • Assist in liaising with external lawyers, company secretaries, auditors, consultants, and other professional service providers

  • Coordinate legal and corporate affairs matters for Finance, HR, IR, Administration, and other departments

  • Assist with legal, governance, and corporate affairs related to Singapore and overseas corporate entities

  • Follow up on the work progress, data requirements, and important deadlines of external professional institutions

  • Properly handle sensitive and confidential information involving the company, management, directors, and shareholders

Job Requirements

  • Degree in Law (LLB or equivalent) preferred; candidates with a Law Diploma, relevant legal professional qualifications, or equivalent hands-on legal/corporate secretarial experience will also be considered.

  • Approximately 2–5 years of relevant experience in Corporate Legal, In-house Legal, Corporate Governance, Corporate Secretarial, or related work

  • Experience in an in-house legal function, the Corporate/Commercial team of a law firm, or a listed/pre-IPO company is an advantage

  • Ability to draft and review basic commercial contracts and identify common legal risks

  • Working knowledge of Singapore corporate law, corporate governance, and corporate compliance

  • Experience in IPO, capital markets, due diligence, or managing cross-border groups/overseas entities is an advantage

  • Meticulous and rigorous approach to work, with strong ownership, logical analysis skills, and follow-through

  • Able to work independently and coordinate effectively with internal departments and external professional institutions

  • Strong sense of professional ethics and discretion with confidential information
