Key Responsibilities
- Manage a portfolio of Singapore-incorporated companies across various industries.
- Handle day-to-day corporate secretarial matters and ensure all statutory requirements are met.
- Prepare directors’ and shareholders’ resolutions, meeting minutes, notices, and other corporate documents.
- Handle company incorporations, striking-off applications, changes in directors and shareholders, registered office changes, and other ACRA-related filings.
- Prepare and submit Annual Returns and other statutory filings to ACRA.
- Handle share allotments, share transfers, changes in share capital, and other corporate exercises.
- Maintain and update statutory registers, corporate records, and company information.
- Monitor statutory deadlines and ensure all filings and compliance requirements are completed accurately and on time.
- Liaise with clients, ACRA, banks, auditors, government authorities, and internal departments.
- Provide clients with support and guidance on routine corporate secretarial matters and Singapore Companies Act requirements.
- Identify potential compliance issues and escalate complex matters when necessary.
- Review and provide guidance on work prepared by junior team members.
- Work closely with the Accounting, Tax, Legal & Compliance, and Business Development teams to provide comprehensive support to clients.
- Contribute to process improvements, automation, and technology initiatives within the Corporate Secretarial department.
Requirement:
At least 3 years of relevant corporate secretarial experience in Singapore is preferred.
- Strong hands-on experience in ACRA filings and corporate secretarial matters.
- Good knowledge of the Singapore Companies Act and relevant regulatory requirements.
- Experience independently managing a portfolio of Singapore companies.
- Excellent written and verbal communication skills.
- Confident and professional when communicating with clients.
- Able to manage multiple deadlines and priorities effectively.
- Able to work independently as well as collaboratively within a team.
- Proactive, dependable, and willing to take ownership of tasks from start to completion.
- Positive attitude with a willingness to learn and continuously improve.
