Eligibility Requirements

1. With full legal capacity, sufficient judgment and decision-making ability, and ordinarily resident in Singapore. The applicant must be a Singapore citizen or Singapore permanent resident.

2. Has not been disqualified, prohibited or suspended by any court, regulatory authority or applicable law from acting as a director of a company, and is not an undischarged bankrupt.

3. Has no adverse record involving fraud, dishonesty, money laundering, terrorist financing or other related offences; maintains a good compliance record with previous employers and a sound personal integrity record; possesses the knowledge, capability, time and resources necessary to perform director duties; and the number of existing directorships and other work arrangements will not affect the performance of director duties hereunder.

4. Agrees to accept the Company's ongoing compliance reviews and to promptly disclose any matters that may affect eligibility, including criminal investigations, regulatory actions, director disqualifications, bankruptcy, material defaults on debts, or other material adverse changes.

Scope of Duties

1. Perform director duties in accordance with the law and in the best interests of the Company, act honestly, with due care and reasonable diligence, exercise independent judgment on all matters requiring approval or signature, and review, approve or sign company documents and statutory documents that legally require director's handling, provided that sufficient information has been obtained and the relevant matters are confirmed to be true, accurate, lawful and in the interests of the Company.

2. Reasonably oversee the Company's statutory compliance, including annual filings, financial records, company registers, tax filings and other applicable obligations.

3. Upon obtaining proper authorization and completing necessary compliance checks, assist the Company in setting up or managing Corppass-related permissions. The nominee director shall not disclose or share his/her Singpass, Corppass or other personal login credentials with any person, nor permit any unauthorized person to conduct online operations in his/her capacity.

4. Where the Company applies for bank accounts, payment accounts, financing, employment passes or other government or commercial services, the nominee director may, upon completion of independent review, customer due diligence and internal approval, reasonably cooperate with identity verification, meetings, board resolutions or signing of necessary documents.

5. Cooperate with the Company and the company secretary in setting up, maintaining and updating the register of nominee directors and submitting relevant information to ACRA.

6. Remain eligible throughout the term of appointment, cooperate with the Company's regular background, compliance capacity and directorship count reviews, and promptly update identification documents, contact details, residential address and other personal profile information.

7. If the Company, clients or relevant persons are found to have false information, suspicious transactions, illegal operations, regulatory breaches, refusal to provide information or other material risks, the nominee director has the right to refuse to sign, suspend cooperation, require remedial measures, and take appropriate steps including resignation, termination of services or reporting to relevant authorities in accordance with the law, the Company's constitutional documents and the service agreement.

8. Handle other reasonable matters directly related to the director's office, provided that such matters do not contravene the law, the director's statutory duties, the Company's internal policies or the written agreement between the parties.

2.未被任何法院、监管机构或适用法律取消、禁止或暂停担任公司董事，且并非尚未解除破产状态的破产人。

3.不存在涉及欺诈、不诚实、洗钱、恐怖主义融资或其他相关罪行的不良记录；过往任职公司的合规记录及个人诚信记录良好；具备履行董事职责所需的知识、能力、时间及资源；现有董事任职数量及其他工作安排不会影响其履行本次董事职责。

4.同意接受本公司的持续合规审查，并及时披露可能影响其任职资格的任何事项，包括刑事调查、监管行动、董事资格限制、破产、重大债务违约或其他重大不利变化。

工作职责

1.依法并以公司的最佳利益为出发点履行董事职责，保持诚实、谨慎及合理勤勉，并对所有需要其批准或签署的事项作出独立判断，在取得充分资料并确认有关事项真实、准确、合法且符合公司利益后，审阅、批准或签署依法需要董事处理的公司文件及法定文件

2.合理监督公司的法定合规情况，包括年度申报、财务记录、公司登记册、税务申报及其他适用义务。

3.在获得适当授权并完成必要合规审查的前提下，协助公司设置或管理Corppass相关权限。挂名董事不得向任何人披露或共享其Singpass、Corppass或其他个人登录凭证，也不得允许未经授权的人员以其身份进行线上操作。

4.如公司申请银行账户、支付账户、融资、就业准证或其他政府或商业服务，挂名董事可在完成独立审查、客户尽职调查及内部批准后，合理配合身份核验、会议、董事会决议或必要文件签署。

5.配合公司及公司秘书设置、维护和更新挂名董事登记册及向ACRA提交相关资料。

6.在任职期间持续保持适格状态，配合本公司进行定期背景、合规能力及任职数量审查，并及时更新身份证明、联系方式、住址及其他个人档案信息。

7.如发现公司、客户或相关人员存在资料不实、可疑交易、违法经营、监管违规、拒绝提供资料或其他重大风险，挂名董事有权拒绝签署、暂停配合、要求采取补救措施，并按照法律、公司章程及服务协议采取辞任、终止服务或向有关机关报告等适当措施。

8.在不违反法律、董事法定义务、本公司内部政策及双方书面协议的前提下，处理其他合理且与董事职务直接相关的事项。
