Title: Company Secretary / Corporate Secretarial Manager
An established international professional services group is seeking a Company Secretary / Corporate Secretarial Manager to support the development and expansion of its Corporate Secretarial Services practice in Singapore.
This is a unique opportunity for a corporate secretarial professional who wants to go beyond routine compliance work and play a key role in building a growing business. The successful candidate will have exposure to corporate secretarial operations, regulatory compliance, process development, and future leadership opportunities.
The organization serves a substantial base of Singapore and international corporate clients, including foreign-owned entities and multinational businesses.
Key Responsibilities
Corporate Secretarial Services
- Manage a portfolio of Singapore-incorporated companies
- Handle company incorporations and business registrations
- Prepare and file statutory documents via BizFile+
- Manage Annual Returns and ongoing corporate compliance matters
- Process director, shareholder, and company secretary changes
- Handle share allotments, transfers, and other corporate actions
- Draft board resolutions, shareholders' resolutions, and meeting documentation
- Support AGM, EGM, and board meeting processes
- Maintain statutory registers and corporate records
- Manage strike-off and company closure procedures
- Advise clients on corporate governance and compliance matters
Compliance & Business Development
- Support corporate service provider compliance initiatives
- Assist with AML/CFT, KYC, CDD, sanctions screening, and risk assessment processes
- Develop and improve operational procedures and internal controls
- Work closely with regulatory authorities and relevant stakeholders
- Contribute to process improvement and digitalisation initiatives
Requirements
Essential
- Experience providing corporate secretarial services in Singapore
- Strong knowledge of Singapore Companies Act requirements
- Hands-on experience with ACRA and BizFile+ filings
- Experience handling Annual Returns, incorporations, and routine corporate actions
- Strong communication and stakeholder management skills
- Ability to work independently and manage multiple deadlines
- Proactive and solution-oriented mindset
Preferred
- Registered Qualified Individual (RQI) status or eligibility for registration
- Experience within a Corporate Service Provider (CSP), accounting firm, professional services firm, or law firm
- Exposure to AML/CFT, KYC, and compliance frameworks
- Team leadership or supervisory experience
- CSIS or relevant professional qualifications
