Corporate Secretarial & Compliance Head
Responsibilities
- Own and manage the full spectrum of Corporate Secretarial and Compliance matters for the company and related entities.
- Manage statutory records, registers, filings, resolutions, corporate actions and ongoing entity maintenance.
- Manage Board and shareholder matters, including meetings, minutes, resolutions and follow-up actions.
- Maintain and monitor statutory and regulatory calendars, ensuring all filings, submissions, license conditions and recurring obligations are met accurately and on time.
- Manage regulatory filings, notifications, license applications, renewals and changes with relevant authorities.
- Maintain compliance policies, registers and controls.
- Conduct periodic compliance reviews and monitoring, identify gaps and ensure timely remediation and escalation of material issues.
- Monitor regulatory developments and implement required changes to policies, procedures and internal controls.
- Support regulatory inspections, internal/external audits and due diligence reviews, including preparation of required documentation and responses.
- Provide practical Corporate Secretarial and Compliance guidance to management and relevant stakeholders.
- Liaise with regulators, ACRA, banks, auditors, legal counsel, corporate service providers and other external advisers.
- Ad-hoc matters as assigned.
Requirements
- 3–4 years of relevant Corporate Secretarial and/or Compliance experience, preferably within fund management, asset management or financial services.
- Degree in Law, Finance, Accounting, Business or related discipline; relevant professional qualifications are advantageous.
- Good knowledge of corporate secretarial, statutory, regulatory and AML/CFT requirements.
- Hands-on experience in entity management, Board matters, statutory filings, regulatory submissions and compliance monitoring.
- Highly organized and detail-oriented, with strong ownership of regulatory and statutory deadlines, documentation and follow-through.
- Able to independently manage the function end-to-end, prioritize multiple entities and requirements, and proactively identify matters requiring action.
- Strong judgement, communication and stakeholder management skills with high standards of integrity, accuracy and accountability.
