About this job

The Senior Corporate Secretarial Executive is responsible for handling a wide spectrum of corporate secretarial duties for the company and its subsidiaries, including statutory compliance, board meetings, and liaison with regulatory authorities. This role requires sound knowledge of corporate governance practices, excellent organisational skills, and the ability to manage multiple stakeholders in a fast-paced environment.

Key Responsibilities

- Manage and maintain statutory records, registers, and corporate files in accordance with the Companies Act and other regulatory requirements.

- Assist in organising and preparing agendas, notices, board resolutions, and minutes of Board and General Meetings.

- Ensure timely filings with ACRA and other relevant authorities for incorporation, annual returns, changes in directors/shareholders, and other statutory matters.

- Liaise with internal and external stakeholders including directors, shareholders, auditors, lawyers, and regulatory bodies.

- Assist with the preparation of corporate documents such as directors' resolutions, shareholder resolutions, and bank signatory updates.

- Support compliance and corporate governance matters for the group and assist in due diligence exercises and corporate transactions.

- Monitor and ensure deadlines for statutory filings and compliance obligations are met.

- Keep abreast of developments in corporate law and regulations and update the team accordingly.

Qualifications & Requirements

- ICSA qualification or Diploma/Degree in Business Administration, Law, or related field.

- Minimum 5 years of relevant corporate secretarial experience, preferably in property development or listed companies.

- Strong knowledge of the Singapore Companies Act and regulatory requirements.

- Familiarity with company incorporation and compliance processes in Malaysia and Indonesia is a strong advantage.

- Able to work independently, handle confidential matters with discretion, and meet tight deadlines.

- Good interpersonal and communication skills, with attention to detail and accuracy.

- Familiar with ACRA BizFile+, BoardResolution software or similar tools.

- Bilingual in English and Chinese (spoken and written) is an advantage.
