Assistant Director - Corporate Governance (Social Service Sector)

The Assistant Director of Corporate Governance, ESG & Technology Services provides strategic leadership in strengthening the organisation’s governance, sustainability, and technology capabilities. The role leads the development and implementation of governance frameworks, ESG strategies, and technology governance practices, while advising the Board, CEO, and senior management on compliance, risk, and organisational priorities. It also oversees Board Secretariat functions, regulatory compliance, ESG reporting, and digital transformation initiatives. The role ensures secure and efficient technology services alongside strong cybersecurity and digital risk management, supporting operational and strategic needs. In addition, the Assistant Director leads multidisciplinary teams across governance, ESG, and technology, fostering a culture of accountability, innovation, and continuous improvement.
Corporate Governance
- Lead the development, implementation, and continuous enhancement of the organisation's corporate governance framework, policies, and procedures.
- Provide strategic advice to the Board, CEO, and executive leadership on governance best practices, regulatory requirements, and governance risks.
- Ensure compliance with legal and regulatory requirements applicable to nonprofit and charitable organisations (e.g. charity regulations, data governance, and related compliance obligations, etc.)
- Oversee governance reviews, internal controls, and audits to strengthen organisational accountability and risk management.
- Promote a culture of accountability, transparency, and ethical leadership throughout the organisation.
- Lead and manage governance-related incidents or reputational risks, ensuring timely resolution, minimal disruption, and full accountability.
ESG (Environmental, Social and Governance)
- Spearhead and oversee the development and implementation of the organisation’s ESG strategy in alignment with organisational objectives and stakeholder expectations.
- Oversee ESG data collection, performance monitoring, reporting, and assurance processes.
- Drive sustainability and ESG reporting in compliance with recognised global frameworks and standards.
- Engage Board members, executive leadership, external partners, and stakeholders on ESG matters and sustainability initiatives.
- Promote ESG awareness and foster a culture of sustainability through organisation-wide training and communication initiatives.
Technology Service & Digital Governance
- Lead the strategic planning, delivery, and continuous improvement of the organisation’s technology services and digital transformation initiatives.
- Oversee IT operations, enterprise systems, infrastructure, cybersecurity, and technology governance to ensure reliable, secure, and efficient services.
- Develop and implement technology policies, standards, and controls aligned with organisational objectives, governance requirements, and regulatory obligations.
- Drive digital innovation and adoption of technology solutions to improve operational efficiency, service delivery, and stakeholder experience.
- Oversee technology risk management, business continuity, disaster recovery, and data protection measures.
- Collaborate with internal stakeholders to identify technology needs and align digital capabilities with strategic priorities.
Leadership and Team Management
- Lead and manage multidisciplinary teams across Governance, ESG, and Technology Service, providing guidance, support, and mentorship to achieve high performance and professional growth.
- Assess developmental needs and required competencies of staff and implement capability development and training initiatives.
- Foster a positive and collaborative work environment that encourages teamwork, innovation, continuous learning, and accountability.
- Build organisational capabilities in governance, sustainability, digital literacy, and technology adoption.
Educational Qualifications
- Bachelor's degree in Business Administration, Law, Governance, or a related field.
- A master's degree in a relevant discipline is a plus
Relevant Experience
- Minimum of 8-10 years of relevant experience in corporate governance, ESG, technology services, digital governance, or related strategic leadership roles, preferably within the non-profit sector or sustainable development sectors.
- Demonstrated experience in developing and implementing governance frameworks, organisational policies, and compliance or risk management initiatives
- Strong knowledge of corporate governance principles, ESG frameworks, regulatory requirements, and technology governance practices applicable to non-profit and charitable organisations
- Proven experience working with Boards of Directors, senior executives, and cross-functional stakeholders in driving organisational governance, sustainability, and digital transformation initiatives
- Experience overseeing technology operations, IT governance, cybersecurity, enterprise systems, or digital transformation projects would be an advantage
- Proven leadership experience in managing multidisciplinary teams, organisational change, and stakeholder engagement initiatives
- Strong analytical, strategic thinking, communication, and stakeholder management skills, with the ability to manage complex organisational priorities

- Digital & Innovation Mindset: Ability to leverage technology and digital solutions to improve operational efficiency, service delivery, data management, and stakeholder experience, while promoting innovation and digital adoption.
- Integrity & Confidentiality: High ethical standards, professionalism, and discretion in handling sensitive, confidential, and complex organisational matters.
- People Leadership & Team Development: Proven ability to lead, mentor, and develop multidisciplinary teams while fostering a collaborative, inclusive, and high-performing work culture.
