Job Summary
Manage corporate secretarial functions and ensure compliance for Singapore-incorporated and international clients. Prepare statutory documents and filings, conduct due diligence, liaise with stakeholders, and monitor regulatory changes to support effective governance.
Responsibilities
- Manage corporate secretarial functions for a portfolio of Singapore-incorporated and international clients, including company incorporation, foreign branch/representative office registration, and striking-off
- Prepare and maintain statutory documents, registers, minute books, board resolutions, and minutes to ensure accurate corporate records
- Prepare and lodge statutory filings with ACRA via BizFile+ within prescribed deadlines, including changes in company officers, share allotments/transfers, and capital restructuring
- Ensure ongoing compliance with the Singapore Companies Act, ACRA regulations, and other statutory requirements, including beneficial ownership reporting
- Conduct KYC and due diligence checks on clients to support regulatory compliance
- Liaise effectively with ACRA, auditors, legal counsel, tax advisors, banks, and government agencies to facilitate corporate secretarial processes
- Monitor compliance deadlines and legislative changes, recommending appropriate actions to maintain adherence
- Assist with ad-hoc assignments to support team and client needs
Required competencies and certifications
- Degree in Business Administration, Law, or a related field
- Minimum 2 years of relevant experience in corporate secretarial or professional services work in Singapore
- Strong knowledge of the Singapore Companies Act and corporate governance practices
- Proficient in Microsoft Office applications
- Excellent written and verbal communication skills, with the ability to manage multiple deadlines and client portfolios independently and collaboratively
Preferred competencies and qualifications
- Chartered Secretaries Institute of Singapore (CSIS) qualification (completed or pursuing)
- Familiarity with ACRA BizFile+ and board management software
- Experience with corporate secretarial software
