Senior Legal Counsel (Trade Finance)

Our client is looking for a practical and commercial Senior Legal Counsel to join their internal team. The position focuses on investment, private credit, trade finance, and regional deals, with a primary geographic focus on Singapore and Indonesia.

The successful candidate will work closely with management in a fast-paced environment to handle transaction execution, legal due diligence, document drafting, and external counsel management.

Key Responsibilities

• Transaction Support: Review, draft, and negotiate loan agreements, facility documents, security packages, guarantees, pledges, shareholder agreements, joint venture contracts, and NDAs. Ensure all legal papers align with commercial terms and credit risk policies.
• Legal Due Diligence: Manage due diligence for investments, financing projects, and counterparties. Review corporate records, permits, and security arrangements to produce concise risk summaries for the management and investment committee.
• External Counsel Management: Coordinate external law firms across Singapore, Indonesia, and other jurisdictions. Set clear instructions, manage timelines, translate legal advice into practical steps, and monitor project costs.
• Governance and Compliance: Assist with corporate governance, board and shareholder approvals, compliance calendars, regulatory filings, KYC checks, counterparty onboarding, and contract register maintenance.

Candidate Profile

• Qualifications: Qualified lawyer in Singapore or another commonwealth jurisdiction.
• Experience: 8 to 12 years of legal experience gained through law firm practice, in-house roles, or both.
• Sector Background: Strong background in banking and finance, secured lending, trade finance, private credit, M&A, joint ventures, commodities, or mining transactions.
• Technical Skills: Strong drafting and negotiation skills, with familiarity handling cross-border security arrangements and enforcement risks.
