Legal Assistant Manager
About this job
Responsibilities:
- Review, draft and negotiate commercial agreements, including cross-border sales, procurement, service, charter party contracts distribution, confidentiality and other business-related contracts, ensuring proper application of Incoterms.
- Provide legal support and practical advice to internal departments on contractual, operational and commercial matters.
- Conduct legal research and monitor relevant legislation, regulations and regulatory developments affecting the company's business operations.
- Managing corporate governance matters, including drafting and preparing corporate filings, board/members’ resolutions, statutory documentation and entity compliance.
- Oversee legal, corporate and regulatory setup, structuring and ongoing operations of overseas subsidiaries, branches and representative offices.
- Handle legal matters, both non-contentious matters (such as document authentication, notarization, legalization, and apostille procedures) as well as contentious matters (such as legal dispute, internal investigation, international sanctions compliance etc.)
- Assist with legal due diligence and assessment of legal risks associated with business transactions and projects.
- Coordinate with internal stakeholders, joint venture partners, company secretary and external legal counsel on domestic and cross-border matters.
- Maintain and organise legal documents, contracts, records and legal databases.
- Assist with the development and implementation of internal legal and compliance policies and procedures.
- Manage the company’s intellectual property assets, including trademark/patent filings, IP monitoring, licensing, and enforcement.
- Provide support for other legal and regulatory matters as assigned by management.
Requirements:
- Bachelor’s Degree in Law or equivalent legal qualification from common law jurisdiction.
- Must be admitted to practice law in at least one common law jurisdiction (e.g.,Singapore, the United Kingdom, Australia, Malaysia, or other common law jurisdictions; holding additional qualifications in other jurisdictions is an advantage).
- At least 2 years of relevant experience in commercial, corporate, contract or general legal practice.
- Strong knowledge of commercial contracts, corporate matters and legal compliance, as well as specialized industry knowledge such as cross-border insolvency law, shipping law, international trade laws, international sanctions, charter party contracts, and Incoterms.
- Proficiency in English; proficiency in Chinese or other languages is an advantage due to the company's international business operations.
